Timothy Hamel-Smith’s core practice is in the commercial area specializing in project and bank financing, having been engaged in the majority of the financings of world-scale projects in the petrochemical and other energy and energy-based industries in Trinidad, as well as bank  financings, and capital market transactions including bond issues, securitizations, derivatives and other swap structures throughout the Caribbean.   He has also been involved in a number of high profile mergers and acquisitions.

 

He was admitted to practise law as a solicitor in 1973, after graduating from the College of Law in England. He was appointed Head of the firm’s Corporate/Commercial Department in 1988.

  • KFW in its US$218.5 million project financing of an ammonia facility for Caribbean Nitrogen Company in conjunction with Milbank, Tweed, Hadley & McCloy; 
  • Farmland MissChem in its construction and financing of an US$240 million world-scale ammonia plant project;
  • RBTT Merchant Bank’s underwriting of a $251.8 million Rights Issue of Guardian Holdings;
  • RBTT Merchant Bank in connection with the arranging and underwriting of an $250 million fixed and floating rate Bond Issue of ANSA McAl;
  • Republic Bank in an US$112 million bridging and long term project financing of a desalination facility at Point Lisas;
  • Angostura Holdings in connection with its £34.7 million take over of Burns Stewart Distillers plc of Scotland in conjunction with Maclay, Murray & Spens and Allen & Overy;
  • PT Bank Rakyat in connection with its US$82.4 million loan facility to ISPAT in relation to its steel plant operations in conjunction with Robinson, Silverman, Pearce, Aronshon &  Berman;
  • Bear Stearns in connection with its flotation of a US$100 million capital markets issue for First Citizens Bank in conjunction with Simpson, Thacher & Bartlett;
